A&O Shearman aids Allianz in USD2.1bn HSBC Life Singapore buy

A&O Shearman has advised financial services company Allianz on its SGD2.7 billion (USD2.1 billion) acquisition of HSBC Life Singapore.

Allianz said it had also struck a 15-year exclusive bancassurance distribution partnership with HSBC Bank Singapore to provide protection, health, retirement and wealth solutions to HSBC customers in Singapore.

A&O Shearman said the purchase of HSBC Life Singapore was expected to enhance Allianz’s position in Singapore’s life and health insurance sector, and further deepen its regional distribution alliance with HSBC. The purchase agreement was signed on 24 July 2026.

Singapore-based partners James Mythen and Ayesha Thapar led the deal team.

“The transaction involved an acquisition of an MAS (Monetary Authority of Singapore) regulated entity and so we advised on [among other issues] Singapore law governance, regulatory and antitrust matters related to the execution and completion of the transaction,” Mythen told Asia Business Law Journal.

He said the transaction was especially notable as it represented a landmark deal.

“We understand that the transaction is one of the largest financial services M&A deals in Singapore by value and the largest insurance M&A deal in APAC this year to date,” he said.

Thapar said that, beyond the acquisition itself, the bancassurance partnership was also a key defining element.

“A key highlight of the transaction beyond the M&A aspects was the entry into the long-term bancassurance agreement, which brought Singapore into symmetry with a number of other regional APAC jurisdictions in which Allianz and HSBC are established long-term partners,” she told ABLJ.

Allianz said HSBC Life Singapore had an operating profit of EUR80 million (USD92 million) in 2025 and had comprehensive equity of EUR1.2 billion.

The acquisition is set to close in the first half of 2027, subject to relevant approvals from MAS.
