PJS Law and Pinsent Masons have advised on Terra Solar’s transmission line and connection assets contracts for its Philippines power plant and battery energy storage system (BESS) project.
Known as the MTerra Solar project, it was expected to become the world’s largest integrated solar photovoltaic and BESS systems, while supplying clean energy to the Luzon grid, said Terra Solar Philippines.
PJS Law handled the drafting, negotiation and signing of the engineering, procurement and construction (EPC) contracts. The team was led by partner Roberto Miguel Ramiro, who co-heads the firm’s labour and employment practice, and senior associate Kevin Ferrer.
“We assisted more on the contract review and negotiations, but the regulatory issues involved NGCP (National Grid Corporation of the Philippines) compliance, risk allocation, force majeure and land issues,” Ramiro told Asia Business Law Journal.
Ramiro said some notable highlights included the tight deadlines and the sheer scale of the overall project.
“Key highlights were the aggressive timelines to meet project deadlines and the absolute scale of the project itself, how the TL (transmission line) and connection assets interacted with the plans for the solar farm and the critical nature of the transmission line and connection assets,” he said.
Pinsent Masons represented Terra Solar Philippines in drafting and negotiating the EPC for the main solar PV and BESS system, and the sub-supply contract of the BESS, covering Phase 1 East and West Blocks and Phase 2 South Block of the project. Hong Kong-based partner Bernard Ang led the team.
An inauguration was held for Phase 1 of the MTerra Solar project in Gapan City, Nueva Ecija, on 14 July 2026. PJS Law said Meralco PowerGen Corporation (MGEN), of which Terra Solar Philippines was an affiliate, aimed to complete the second phase by 2027, with 3.5GWp of solar power and 4.4GWh of BESS.
The Manila-based law firm said the MTerra Solar project, once finished, was expected to provide clean energy to 2.4 million households.
