Shin & Kim and Baker McKenzie & KL Partners Joint Venture Law Firm are the legal advisers on a proposed merger of mobile parts manufacturer RFTech and automotive supplier Eco Volt.
Shin & Kim, led by partner Jonghyun Lee, is advising RFTech, while Baker McKenzie & KL Partners Joint Venture Law Firm is acting for Eco Volt, with partner Ji Sun Hwang spearheading the team.
Both law firms have been engaged by their respective companies to review the directors’ fulfillment of fiduciary duties to shareholders and ensure the legal validity of the merger proceedings.
RFTech and Eco Volt, both subsidiaries of Korea-based OSUNG Advanced Materials, announced an absorption merger in April 2026, with RFTech as the surviving entity. Originally slated for July 2026, the merger completion date has since been delayed twice, first to September and now to October.
A general meeting of shareholders to vote on the merger between the two entities is scheduled for 31 August 2026, followed by the completion of merger registration on 16 October 2026.
RFTech and Eco Volt are both listed on the Kosdaq market. As of 31 March 2026, RFTech reported total assets of KRW397.1 billion (USD273 million), compared to Eco Volt’s total assets of KRW235 billion.
OSUNG Advanced Materials manufactures thin-film transistors and semiconductor equipment. RFTech produces smartphone parts and 5G communications equipment, while Eco Volt makes automotive LED lighting and touchscreen modules as well as electronic parts.
